1. Acceptance of Terms

These Terms & Conditions ("Terms") form a binding agreement between you ("User," "you") and ResearchPal, a company with its registered office at Level 1, Devonshire House, One Mayfair Place, London, United Kingdom ("ResearchPal," "we," "us," "our"), governing your access to and use of researchpal.co and all related tools, features, and content (the "Service"). By creating an account or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, Cookie Policy, and AI & Data Usage Policy, incorporated here by reference.

If you use the Service on behalf of an organization or institution, you represent you have authority to bind that entity, and "you" refers to that entity as well.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you confirm you have permission from a parent or guardian, or that you meet the age of digital consent in your jurisdiction.

3. Description of the Service

ResearchPal is an AI-powered research assistant that helps students, researchers, faculty, and institutions upload and analyze academic documents, generate summaries, extract citations, and interact with an AI assistant to accelerate literature review and research workflows. Features, availability, and functionality may change over time, with or without notice, at our discretion.

4. Account Registration

  • You must provide accurate, current, and complete information when creating an account.

  • You are responsible for the confidentiality of your login credentials and all activity under your account.

  • Notify us immediately at info@researchpal.co of any unauthorized use of your account.

5. Subscriptions, Fees & Billing

  • ResearchPal operates on a usage-based freemium (free-tier/credits) model: upon signup users get a certain amount of credits to test out the product, with additional features and credits available on a paid subscription. Pricing and plan details are on our Pricing page.

  • Subscriptions renew automatically at the end of each billing cycle unless canceled before renewal.

  • Payments are processed securely by our payment processor, Stripe. Subscribing authorizes recurring charges to your chosen payment method.

  • Refunds are available within 14 days of purchase, except where required otherwise by law. To request a refund, contact info@researchpal.co.

  • You may cancel your paid subscription at any time via account settings; cancellation takes effect at the end of the current billing period, and you will retain free-tier access thereafter.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law.

  • Upload content you do not have the legal right to share, including copyrighted material without permission.

  • Use AI outputs to generate or submit fraudulent, plagiarized, or fabricated academic work in violation of your institution's academic integrity policies.

  • Reverse-engineer, decompile, scrape, or extract ResearchPal's underlying AI models, source code, or datasets.

  • Interfere with or disrupt the integrity or performance of the Service, including via malware, unauthorized access, or excessive automated requests.

  • Generate content that is defamatory, harassing, discriminatory, sexually explicit involving minors, or infringing on others' rights.

  • Resell, sublicense, or provide third-party access to the Service without our written consent.

We may suspend or terminate accounts that violate this policy.

7. User Content & Intellectual Property

7.1 Your Content

You retain ownership of documents, files, and text you upload ("User Content"). By uploading, you grant ResearchPal a limited, non-exclusive, worldwide license to process, store, and analyze that content solely to provide and improve the Service, as described in our AI & Data Usage Policy. We do not use your User Content to train our AI models.

7.2 Our Platform

The ResearchPal name, logo, website, software, proprietary AI models, and related intellectual property are owned by ResearchPal and protected by copyright, trademark, and other laws. Nothing in these Terms grants you rights to our intellectual property beyond the limited right to use the Service as intended.

7.3 AI-Generated Output

Outputs generated by ResearchPal's AI (summaries, citations, answers) are provided for your use, subject to these Terms. You are responsible for reviewing, verifying, and appropriately citing any AI-generated content used in academic, professional, or published work, per your institution's or publisher's AI-use policies.

8. Disclaimers Regarding AI Output

AI-generated content may be inaccurate, incomplete, or outdated, and may include fabricated citations or "hallucinations." ResearchPal does not guarantee the accuracy, completeness, or reliability of any AI-generated output. ResearchPal is a research aid, not a substitute for independent academic judgment, professional advice, or primary source verification. You are solely responsible for verifying facts, citations, and conclusions before relying on or publishing them.

9. Third-Party Services

The Service may integrate or link to third-party tools or citation databases (e.g., payment processing via Stripe). We are not responsible for the availability, accuracy, or practices of third-party services; your use of them may be subject to separate terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESEARCHPAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO RESEARCHPAL IN THE 12 MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

12. Indemnification

You agree to indemnify and hold harmless ResearchPal, its officers, employees, and affiliates from claims, damages, or expenses arising from your violation of these Terms, misuse of the Service, or infringement of third-party rights.

13. Termination

We may suspend or terminate your access at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to ResearchPal or other users. You may terminate your account anytime via account settings. Provisions that by nature should survive termination (IP ownership, disclaimers, limitation of liability) will survive.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from these Terms, except where applicable consumer protection law grants you the right to bring a claim in your local jurisdiction.

15. Changes to These Terms

We may update these Terms periodically. Material changes will be notified via email or in-app notice at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.
